Service Agreement — Terms & Conditions

1. Definitions

"Keysure" refers to Keysure Security Services Ltd, registered in England and Wales. "Client" refers to the organisation named in the associated quote. "Services" refers to the keyholding, alarm response, and ancillary security services described in the accepted quote. "Agreement" means these Terms and Conditions together with the accepted quote document.

2. Commencement & Duration

This Agreement commences on the date the Client's authorised signatory executes the electronic signature and shall continue for an initial minimum term of 12 months. Thereafter it shall renew automatically on a rolling monthly basis unless either party provides 30 days' written notice of termination.

3. Services

Keysure shall provide the Services as described in the accepted quote. Response times are target times only and are not guaranteed. Keysure reserves the right to sub-contract any element of the Services to approved third-party contractors who are vetted and SIA-licensed. The Client shall ensure that all site access information, alarm codes, and emergency contacts are kept current.

4. Fees & Payment

Monthly service fees are payable in advance by Direct Debit on the 1st of each calendar month. The one-off setup fee is payable within 14 days of signing. Keysure reserves the right to increase fees annually in line with CPI inflation, providing 30 days' written notice. Late payments will incur interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts Act 1998.

5. Liability

Keysure's total aggregate liability to the Client under or in connection with this Agreement shall not exceed the total fees paid in the 12 months preceding the event giving rise to the claim. Keysure shall not be liable for indirect, consequential, or special losses. Nothing in this Agreement limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

6. Data Protection

Both parties shall comply with the UK GDPR and the Data Protection Act 2018. Keysure will process personal data only as necessary to deliver the Services. A Data Processing Agreement is available on request. The Client consents to Keysure retaining site access records and incident logs for a minimum of 7 years for regulatory compliance purposes.

7. Termination

Either party may terminate this Agreement immediately by written notice if the other party commits a material breach that is not remedied within 14 days of written notice, or becomes insolvent. Upon termination, all outstanding fees become immediately due and payable. Keysure will return all Client keys and access materials within 5 business days of termination.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
